Who we are and when these terms apply
These Terms of Sale apply to every purchase of parts and other products from MagZero Technologies (“MagZero,” “we,” “us”) — whether you check out on this website, accept a quote we send you, or send us a purchase order.
We sell to businesses — contractors, service companies, building owners and facility teams. By placing an order you confirm you're buying for business use and that you're authorized to buy for the business you name.
By placing an order you agree to these terms. If your purchase order includes different or additional terms, these terms apply unless we agree otherwise in writing. If we send you a quote, any terms printed on that quote also apply to the order placed from it, and they take priority where they differ from this page.
Your account
You need a MagZero account with a verified email address to buy online. Asking for a quote doesn't require an account.
Keep your sign-in details private and the information on your account accurate. You're responsible for orders placed through your account. We may suspend an account that's used fraudulently or in breach of these terms.
Quotes and prices
- All prices are in U.S. dollars.
- Prices and availability can change until we accept your order.
- Businesses approved for trade pricing see their own prices when signed in.
- A quote is valid for the period printed on it — 30 days unless the quote says otherwise. Shipping and tax on a quote are estimates and are finalized on the invoice.
- Compressors, chillers, panel kits and other freight-class items are quoted rather than sold through card checkout. See Shipping.
We work to keep prices, descriptions and stock information accurate. If we find an error in the price or description of something you ordered, we'll contact you before shipping. You can then confirm the order at the correct price or cancel it for a full refund.
Orders and acceptance
Placing an order is an offer to buy. The confirmation email you get after ordering means we've received your order. We accept the order when we ship it or confirm it to you in writing. We may decline or limit an order — for example if an item is no longer available. If we do, you won't be charged, or we'll refund anything you've already paid.
To change or cancel an order, contact us as soon as possible. Stock items that haven't shipped can be cancelled at no charge. Special-order and quoted items may carry a cancellation charge, as stated on the quote.
Payment
By card
Card payments are taken on Stripe's secure checkout page. MagZero never sees or stores your full card number. Your card is charged when you place the order.
On approved net terms
Businesses approved for credit can place orders on terms instead of paying by card. Unless your approval says otherwise, invoices are due net 30 from the invoice date. You can pay them by check, ACH or card.
- We decide whether to approve credit, and set the limit and terms. We may change, pause or withdraw them, for example if an account is past due.
- An order that would take you over your available credit has to be paid by card.
- A purchase order number you give us goes on the invoice. Accepting a purchase order doesn't, on its own, grant credit terms.
- You owe payment whether or not your own customer has paid you for the project.
Late payment
Past-due balances are charged 1.5% per month, or the maximum allowed by law if that is lower. We may hold shipments on an account that is past due. If we have to take action to collect a past-due balance, you agree to pay our reasonable collection costs, including attorney's fees.
Sales tax
We charge sales tax where we're registered to collect it. Today that's California. Tax is based on the ship-to address, and checkout shows it before you pay. If we can't calculate tax for your address at checkout, we'll ask you to request a quote instead. Shipping is listed separately on your order.
If we don't collect sales tax on your order, you're responsible for any sales or use tax you owe where the goods are delivered.
Exempt purchases. If you're buying for resale or are otherwise exempt, send us a valid resale or exemption certificate before you order. Once the certificate is on your account, we won't charge sales tax on qualifying orders.
Shipping, title and risk of loss
Parts ship from our U.S. stock. Shipping charges are shown at checkout or on your quote. Online checkout ships to U.S. addresses.
Orders ship FOB origin: ownership and risk of loss pass to you when we hand your order to the carrier.
Delivery dates and transit times are estimates. A requested delivery date is a request, not a commitment, unless we confirm it to you in writing. We aren't liable for delays caused by the carrier or by events outside our control, such as severe weather, strikes, supplier shortages or other disruptions. If something like this delays your order, we'll let you know and ship as soon as we reasonably can.
Inspection, damage and shortages
Please check every shipment when it arrives.
- Note any visible damage on the carrier's delivery receipt before you sign it.
- Report damage, missing items or wrong items in writing within 10 days of delivery. Email contact@magzero.us with your order number and photos.
- Keep the original packaging until the claim is settled — carriers usually ask to inspect it.
Because ownership passes when your order ships, damage in transit is a claim against the carrier. We'll help you file it. If we don't hear about a problem within 10 days of delivery, we'll treat the shipment as accepted. This doesn't affect your warranty rights for defects you couldn't have seen on delivery.
Returns
Returns need our approval before anything is shipped back. The return window, condition requirements, fees and refund timing are set out in our Returns policy.
Warranty
Products we sell are covered only by the manufacturer's written warranty in effect when they ship. We pass that warranty on to you and will help you make a claim. For Danfoss TurboCor compressors, see our warranty options.
You're responsible for choosing the right part for your equipment. Our fitment information and parts assistant are there to help, but please confirm fitment before installing. Unless your quote says otherwise, our sales are for materials only, and installation and startup aren't included. Parts should be installed by qualified technicians.
Except for the manufacturer's warranty, and to the extent the law allows, we make no other warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose.
Limitation of liability
To the extent the law allows:
- We aren't liable for indirect, incidental, special or consequential damages. This includes lost profits, equipment downtime, temporary cooling, labor, or damage to other equipment.
- Our total liability for any claim about a product is limited to the price you paid for that product.
Nothing in these terms limits liability that can't be limited by law.
Export and lawful use
You agree to follow U.S. export control and sanctions laws for anything you buy from us. You won't export, re-export or transfer products to a country, person or end use the law prohibits without the required authorization.
Governing law and disputes
These terms are governed by California law, without regard to its conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods doesn't apply. Disputes will be heard in the state or federal courts in Orange County, California, and both of us agree to those courts' jurisdiction.
If any part of these terms can't be enforced, the rest still applies. If we don't enforce a term straight away, that doesn't waive our right to enforce it later.
Changes to these terms
We may update these terms from time to time. The date at the top shows when they last changed. Your order is governed by the terms in effect when you placed it.
